gOS Terms of Service

1. These Terms and your use of gOS

These Terms govern your use of the gOS Mac application and its associated services, including access to AI models, tools, files and automated workflows (together, the “Services”).

By accepting these Terms during installation, registration or purchase, you enter into an agreement with CS. If you use the Services on behalf of an organization, you confirm that you have authority to bind that organization, and “you” refers to that organization where appropriate.

You must be at least 18 years old and legally capable of entering into this agreement.

Subject to these Terms, CS grants you a limited, non-exclusive, non-transferable right to install and use gOS for personal, business and client work. CS and its licensors retain ownership of the Services. This does not affect your rights in your own content or work.

Open-source software, third-party models and other separately licensed components remain governed by their respective licenses. These Terms do not restrict rights granted to you under those licenses.

In these Terms, “CS”, “we” and “us” refer to Coordination Systems Ltd.

2. Accounts and access

Some Services require an account, payment or an internet connection. You must provide accurate account and billing information, protect your credentials and promptly notify CS of suspected unauthorized access.

You are responsible for use you authorize through your account, including use by employees, contractors and agents acting within the authority you grant. You are not automatically responsible for unauthorized activity caused by CS’s breach of this agreement.

Where organizational accounts or administration features are available, the organization is responsible for assigning appropriate access and informing its users about applicable administrative controls.

You are responsible for maintaining compatible hardware, software and backups of important local files. Unless expressly included in your plan, gOS is not a backup or archival service.

3. Local, remote and hybrid processing

gOS supports computation on your Mac, on remote infrastructure, or through a combination of both.

Local processing means that the relevant operation runs on your Mac without transmitting its content elsewhere for that operation. Remote processing means that an operation sends relevant content to infrastructure outside your Mac. A hybrid workflow combines local and remote operations.

New installations default to online-first. You may select local-first and configure whether cloud fallback is permitted or requires approval. Local-first prioritizes available local capabilities; it does not, by itself, mean that every operation in a workflow runs offline.

Different steps may use different processing locations. For example, generation may run locally while planning, evaluation or another tool operation runs remotely.

By initiating a workflow, you authorize the processing covered by your active settings and applicable approvals. Where an operation is restricted to local execution, CS will not substitute remote processing without further authorization. Granting access to a file through macOS does not, by itself, authorize every possible external disclosure of that file.

Local processing may coexist with network activity for authentication, billing, updates, model downloads and other service functions. External tools may also communicate over the network within the permissions you grant.

4. Remote providers and information they receive

gOS may connect to models, tools and services operated by CS or third parties (“Providers”).

A remote operation may transmit the information needed to perform it, including prompts, instructions, selected files, images, audio, video, conversation context, tool results, intermediate outputs and associated request information (the “Payload”). A Payload may include context assembled by an agent, rather than only text you have typed directly.

Before you authorize remote processing, gOS will make available information identifying the relevant Provider or processing route, whether CS receives or relays the Payload, and the applicable Provider terms and data-handling information. This information may appear during setup, model or tool selection, in settings, or in an operation’s confirmation. Existing authorizations may cover repeated operations within the same scope.

A Provider’s retention, human-review and training conditions may depend on the service, endpoint and account arrangement used. Access to one model through different routes does not necessarily involve the same data conditions.

Where you connect your own Provider account, credentials or infrastructure, your agreement with that Provider governs its independent services and charges. You are responsible for configuring that account appropriately and ensuring that its conditions are suitable for the material you submit.

CS remains responsible for its own obligations and for service providers acting on its behalf to the extent required by this agreement and applicable law. These Terms do not give CS authority to grant independent reuse rights in your content beyond the permissions you provide.

5. Agents, permissions and actions

Agents may perform multiple operations in sequence or in parallel. Depending on your instructions and permissions, these may include reading or modifying files, generating content, executing software, calling tools, transmitting information or interacting with external services.

You authorize only actions within the permissions, approvals and spending authority you grant. gOS uses macOS permissions and its own approval mechanisms to manage access and protected actions. Broader permissions allow agents to act with less intervention from you.

You should review the permissions you grant and use appropriate safeguards for important work, including backups and review before publication, deployment or other consequential actions.

Models and agents can misunderstand instructions or produce unexpected results. Stopping a workflow may prevent further actions but cannot necessarily reverse actions already completed or stop requests already accepted by a Provider.

These limitations do not excuse CS from respecting the permissions and approval requirements it expressly undertakes to enforce.

6. Your content and generated outputs

“Your Content” means material you provide or make available through gOS, including prompts, files, code, media, data, workflows and model adaptations. “Outputs” means material generated for you through the Services.

As between you and CS, you retain your existing rights in Your Content. CS does not acquire ownership merely because you process it using gOS.

To the extent permitted by law, CS assigns to you any rights it acquires in Outputs generated for you. This does not transfer ownership of gOS, underlying models, third-party assets or other separately licensed components.

You may use your work and Outputs commercially, including for clients, subject to applicable law and relevant third-party rights and license conditions.

Outputs may not be unique, accurate, original, non-infringing or eligible for intellectual property protection. Similar material may be generated for others. You are responsible for reviewing your intended use and obtaining any necessary permissions.

Your rights in Your Content and Outputs do not depend on maintaining a subscription.

7. Permission to provide the Services and optional licensing to CS

To the extent CS receives Your Content or Outputs, you grant CS a non-exclusive, royalty-free permission to process, reproduce, store and transmit them only as reasonably necessary to perform your authorized operations, provide requested support, protect the Services and comply with legal obligations.

CS may involve service providers and recipients needed for those purposes, subject to the authorized processing route and applicable confidentiality and data-protection requirements. This permission does not extend to unrelated files on your device.

Using gOS does not authorize CS to train models on, publish, sell, sublicense or otherwise commercially reuse Your Content or Outputs beyond delivering the Services to you. CS will not authorize service providers acting under its instructions to undertake such independent reuse without your separate affirmative permission.

CS may offer a separate contribution or licensing agreement covering specified materials. That agreement must identify the materials, permitted uses, duration, any sublicensing rights, withdrawal conditions and any compensation. Declining it does not prevent ordinary use of gOS.

Independent Providers you connect through your own accounts remain subject to your agreements with them, as described in Section 4.

Product suggestions and feedback may be used to improve gOS, but submitting feedback does not automatically license associated private prompts, files, Outputs or workflow contents. A content license does not waive applicable personal-data rights.

8. Privacy, diagnostics and confidentiality

CS handles personal data as described in its Privacy Notice and, where applicable, a Data Processing Addendum.

Content processed exclusively on your Mac is not received by CS merely because gOS processes it.

Diagnostic uploads and optional capture of prompt or content data are opt-in. These choices are separate from transmitting a Payload to perform a remote operation you authorize. Disabling optional diagnostics does not prevent information from being sent where necessary for that operation.

CS may process essential account, authentication, billing, usage and security information as described in the Privacy Notice. Technical usage information may be used to maintain reliability and performance, but this does not permit private prompts, files or workflow contents to be repurposed as training or commercial datasets.

CS will protect private content it receives using reasonable technical and organizational measures. Access by personnel and contractors will be limited to authorized purposes and people with a need to know, subject to appropriate confidentiality obligations.

CS may disclose information where legally required and will provide notice where permitted and appropriate. Retention, deletion and backup practices will be described in the Privacy Notice. Material retained for legal, security or backup purposes remains subject to the restrictions that apply to it.

Turning off optional collection stops future collection under that setting. It does not automatically delete previously collected information; deletion requests and applicable retention obligations are handled separately.

Where CS processes personal data on behalf of a business customer and applicable law requires a processing agreement, the appropriate Data Processing Addendum will apply.

9. G Tokens and usage charges

“G Tokens” are usage credits for eligible paid Services. They may be purchased separately or included in a subscription.

G Tokens are usable only for eligible Services, are non-transferable unless CS expressly permits otherwise, and confer no ownership, voting, profit-sharing or investment-return rights. They are not redeemable for cash except under the refund provisions of these Terms or applicable law.

G Tokens are added to a cumulative account balance. They do not reset monthly or expire merely through the passage of time or the end of a billing period. This applies to G Tokens purchased separately and those included in subscriptions under these Terms.

Any future offer using different credit conditions must disclose those conditions before acquisition and will not change G Tokens already issued under these Terms.

Ordinary local computation is not metered in G Tokens. A workflow using local computation may nevertheless incur charges for separate paid operations, such as remote planning, generation or evaluation. Any separate software, subscription or orchestration fee must be disclosed.

Different operations consume different amounts. Applicable rates or the basis for calculating them will be available before you authorize paid use. Provider charges incurred through your own credentials are governed by your Provider agreement; any additional CS charge must be separately disclosed.

Purchasing G Tokens or subscribing does not, by itself, authorize automatic top-ups or charges beyond your agreed billing arrangements.

10. Reservations, settlement and billing corrections

Some operations reserve an estimated number of G Tokens before execution. A reservation temporarily reduces the available balance but is not a final charge.

When the operation settles, CS will deduct the amount properly chargeable under the applicable pricing and release any unused reservation. An estimate is not a guaranteed price or spending ceiling unless expressly identified as such.

You are responsible for authorized billable operations, including authorized retries, evaluations and intermediate steps. Resources already consumed may remain chargeable even if you stop the workflow or do not obtain a usable Output. Dissatisfaction with an Output does not, by itself, establish a billing error.

CS will correct duplicate charges, incorrect deductions and charges for operations that were not performed. Reservations relating to unperformed operations will be released, subject to reconciliation of requests already submitted to a Provider.

Refunds and payment reversals will remove the corresponding G Tokens or entitlements to prevent double recovery. A disputed payment does not, by itself, justify deleting unrelated, validly funded balances.

You may report billing issues using the contact details below. Nothing in this section limits your remedies for defective or undelivered Services.

11. Subscriptions, cancellation and unused balances

The price, billing period, included benefits, G Token allocation and any minimum commitment will be disclosed at purchase. Subscriptions renew automatically only where recurring billing has been disclosed and authorized.

You may cancel renewal through the available account controls or by contacting CS before the next renewal takes effect. Unless a refund or earlier termination right applies, subscription benefits continue until the end of the paid period.

Cancelling a subscription is not the same as closing an account. Cancellation stops future renewal and future subscription allocations. It does not erase G Tokens already credited. Your remaining balance stays available for eligible Services without requiring renewal solely to preserve or spend that balance, although subscription-only features may end.

Payments are non-refundable except where these Terms, an expressly disclosed offer or applicable law provides otherwise. Ordinary cancellation does not create a right to a prorated refund for the current billing period.

Temporary suspension. A suspension may prevent spending while the underlying issue is resolved, but does not itself erase the balance.

Voluntary account closure. Before permanent closure, CS will inform you of the remaining balance and any available refund rights. You may keep the account open to use the balance or proceed with closure. Subject to applicable law, non-refundable G Tokens remaining when you confirm permanent closure are forfeited.

Termination or discontinuation by CS. If CS permanently closes your account or discontinues the Services against which your balance can reasonably be used, CS will refund unused prepaid amounts attributable to those Services, including unused purchased G Tokens and the unprovided portion of a paid subscription. Refunds will reflect actual payments and consumption, without counting the same subscription and G Token entitlement twice. Promotional grants issued without payment have no refundable purchase amount.

CS may deduct amounts you lawfully owe only where those amounts are undisputed or established through an applicable dispute-resolution process. Temporary suspension or an allegation of breach does not automatically forfeit paid balances.

Refunds will ordinarily use the original payment method. Where an app distributor is the seller of record, its payment procedures apply without reducing mandatory rights or CS’s own obligations.

12. Consumer cancellation rights

Nothing in these Terms limits mandatory consumer rights, including rights relating to cancellation, defective digital content or services, refunds and unfair contract terms.

Consumers in the European Economic Area or the United Kingdom generally have a 14-day right to withdraw from an eligible online purchase, subject to applicable exceptions. Additional rights arising under local law or on renewal remain unaffected.

You may exercise an applicable withdrawal right by sending CS a clear cancellation statement using the contact details below. CS will make any required reimbursement within the applicable statutory deadline.

Where the law requires an express request to begin supplying a service during the withdrawal period, or separate consent and acknowledgment before supplying digital content, CS must obtain those separately. Accepting these Terms or spending G Tokens does not, by itself, establish that every legal requirement for losing a withdrawal right has been satisfied.

Any deduction for Services already provided must be permitted by law and proportionate to the Services supplied.

13. Your responsibilities and permitted use

You must have the rights and authority necessary to provide Your Content and authorize the processing you select. This includes permissions relating to intellectual property, confidentiality, personal data and a person’s image, likeness or voice.

You may not use gOS unlawfully, infringe others’ rights, obtain unauthorized access to systems, distribute malware, deceptively impersonate others or interfere with the security or operation of the Services. You must comply with applicable export controls and sanctions.

Restrictions attached to a particular model, tool or Provider apply to your use of that component. They do not automatically apply to unrelated components or work.

You may perform client work and authorize others to operate workflows within an agreed scope. Permission to operate a workflow or spend a client’s G Tokens does not, by itself, authorize licensing the client’s materials to CS.

Project scope, deliverables and bespoke intellectual property arrangements may be governed by a separate agreement.

14. Service commitments and limitations

CS will provide the Services with reasonable skill and care and in accordance with its express commitments under these Terms.

AI models and agents may produce inaccurate, incomplete, unexpected or inappropriate results. You should review Outputs and actions before relying on them, particularly where errors could materially affect people, property, rights or important decisions.

Evaluations and automated checks assist judgment; they are not guarantees of quality, legality or fitness for a particular purpose.

Availability and performance may depend on your hardware, operating system, network conditions and third-party services. Some features may be identified as experimental or in beta. CS does not guarantee uninterrupted availability, compatibility with every configuration or continued availability of every model.

Except for express commitments and rights that cannot lawfully be excluded, CS gives no guarantee that every Output or workflow will meet your particular requirements. This does not exclude responsibility for a failure to provide the Services as agreed.

15. Suspension, termination and your files

CS may restrict or suspend access where reasonably necessary to address material breach, non-payment, fraud, security risks or legal requirements. Where practicable, CS will explain the reason and give you an opportunity to resolve it.

CS may terminate for an unresolved material breach. CS may also discontinue an account or the Services on at least 30 days’ notice, unless a shorter period is reasonably required for legal or security reasons. G Token balances and refunds are governed by Section 11.

You may challenge a suspension or termination by contacting CS. Where access can safely and lawfully be restored, CS will restore it after the issue is resolved.

Account closure may end access to hosted features and functions requiring authentication. It does not transfer ownership of your work or authorize CS to erase unrelated files on your Mac.

Where CS holds content for you, CS will provide a reasonable opportunity to retrieve it before deletion, unless immediate action is legally required or you request immediate deletion. Applicable data-access, portability and deletion rights remain unaffected.

Ownership provisions, accrued payment and refund obligations, confidentiality, liability and dispute provisions survive as necessary. A separate contribution license survives only according to its own terms.

16. Changes to the Services, prices and Terms

CS may update gOS, its integrations and these Terms to address product development, costs, security, legal requirements or operational changes.

CS will provide at least 30 days’ notice of materially adverse contractual changes and subscription price increases, except where a shorter period is reasonably necessary for legal or security reasons. Subscription price increases take effect no earlier than the next renewal after the required notice.

Usage-rate changes apply only to future authorizations, not operations already submitted under an agreed rate. Material changes will be disclosed before they apply.

Changes will not retroactively expire existing G Tokens, expand an existing contribution license or authorize new uses of private content. Changes to Provider documentation do not override your processing permissions.

Where a material adverse change affects a prepaid commitment and you elect to terminate before it takes effect, CS will refund the unprovided portion in accordance with Section 11 and applicable law.

Continued use may constitute acceptance of notified changes where legally permitted. Where affirmative agreement is required, CS will obtain it.

17. Liability and business claims

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited.

For business users, neither party is liable for indirect or consequential loss or loss of anticipated profits arising from this agreement, to the extent permitted by law.

Subject to the exclusions above, each party’s aggregate liability relating to the Services is limited to the greater of the amounts paid to CS under this agreement during the 12 months preceding the event giving rise to the claim and US$100. This business cap does not reduce obligations to pay agreed fees or refunds due under these Terms.

For business use only, you will reimburse CS for reasonable third-party claim costs and damages arising from your unlawful submission of content or material infringement of another person’s rights, to the extent caused by matters within your control. This obligation excludes claims caused by CS’s breach, unauthorized actions or independent misuse of your content, and is subject to the business liability cap.

CS must promptly notify you of such a claim, allow reasonable control of its defense and settlement, and provide reasonable cooperation. No settlement may admit liability or impose obligations on another party without that party’s consent.

The business exclusions and monetary cap do not apply to consumers. For consumers, CS is responsible for foreseeable loss caused by its breach or failure to exercise reasonable skill and care, subject to applicable law.

18. Governing law, related documents and contact

These Terms are governed by the laws of England and Wales. Business disputes are subject to the courts of London. Consumers retain any mandatory protections and rights to bring proceedings in their country of residence.

The parties will make reasonable efforts to resolve disputes informally. This does not prevent urgent relief or suspend a statutory deadline.

The Privacy Notice explains personal-data handling. Applicable purchase terms, a Data Processing Addendum and separately accepted contribution licenses supplement these Terms within their respective scopes. A signed project agreement controls an express conflict concerning that project. Operational documentation cannot silently expand CS’s content rights or remove rights granted here.

If a provision is unenforceable, the remaining provisions continue to apply. A failure to enforce a provision is not a waiver. CS may transfer this agreement as part of a merger, reorganization or business transfer, provided the successor assumes the relevant obligations and your contractual protections are not reduced.
